Terms of Service

1. Acceptance of Terms

By accessing or using the Site or Services, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated by reference. If you are using the Services on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

2. Eligibility

You must be at least 18 years old and capable of forming a legally binding contract to use the Site or Services. By using them, you represent and warrant that you meet these requirements.

3. The Services

Compass Solutions provides performance marketing, AI-driven software development, business intelligence, and related professional services. The Site provides general information about our offerings. We may modify, suspend, or discontinue any part of the Site or Services at any time without liability, except as otherwise agreed in a written contract with a client.

4. Client Engagements

Specific Services are governed by a separate written agreement, statement of work, or proposal ("Engagement Agreement") executed between you and Compass Solutions. In the event of a conflict between these Terms and an Engagement Agreement, the Engagement Agreement controls with respect to that engagement. Information on the Site, including any descriptions, results, or estimates, does not constitute a guarantee of specific outcomes and is not a binding offer.

5. Acceptable Use

You agree not to:

• Use the Site or Services for any unlawful, fraudulent, or harmful purpose;
• Violate any applicable law, regulation, or third-party right;
• Attempt to gain unauthorized access to the Site, our systems, or related networks;
• Introduce viruses, malware, or other harmful code;
• Interfere with or disrupt the integrity or performance of the Site or Services;
• Scrape, harvest, or collect data from the Site without our written permission; or
• Reproduce, duplicate, copy, sell, or resell any portion of the Site without authorization.

6. Intellectual Property

The Site and its contents — including text, graphics, logos, the "Compass Solutions" name and marks, designs, code, and other materials — are owned by or licensed to Compass Solutions and are protected by intellectual property laws. Except as expressly permitted, you may not use, reproduce, distribute, or create derivative works from any of our content without our prior written consent. Ownership of deliverables created under a client engagement is governed by the applicable Engagement Agreement.

7. Your Content

When you submit information, materials, or content to us (for example, through the contact form or during an engagement), you represent that you have the rights to do so and grant Compass Solutions a non-exclusive license to use that content solely to provide and improve the Services. You are responsible for the accuracy and legality of the content you provide.

8. Third-Party Services

The Site and Services may rely on or link to third-party tools, platforms, or websites. We do not control and are not responsible for the content, policies, or practices of any third party. Your use of third-party services is subject to their terms and policies.

9. Disclaimers

THE SITE AND SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WITHOUT LIMITATION IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. We do not warrant that the Site or Services will be uninterrupted, error-free, secure, or that results will meet your expectations. Any marketing or performance figures are illustrative and do not guarantee future results.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL COMPASS SOLUTIONS OR ITS OFFICERS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SITE OR SERVICES, WHETHER BASED ON WARRANTY, CONTRACT, TORT, OR ANY OTHER LEGAL THEORY, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO THE SITE OR SERVICES WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID TO US FOR THE APPLICABLE SERVICES IN THE THREE (3) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS (US$100). Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.

11. Indemnification

You agree to indemnify, defend, and hold harmless Compass Solutions and its officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to your use of the Site or Services, your content, or your violation of these Terms or any applicable law.

12. Termination

We may suspend or terminate your access to the Site or Services at any time, with or without notice, if we believe you have violated these Terms or for any other reason. Provisions that by their nature should survive termination — including intellectual property, disclaimers, limitation of liability, indemnification, and governing law — will survive.

13. Governing Law & Dispute Resolution

These Terms are governed by the laws of the United States and the State in which Compass Solutions is established, without regard to conflict-of-law principles. You agree that any dispute arising out of or relating to these Terms or the Site will be subject to the exclusive jurisdiction of the state and federal courts located in that State, unless an applicable Engagement Agreement specifies an alternative dispute resolution process. Nothing in this section limits any mandatory consumer protections available to you under applicable law.

14. Changes to These Terms

We may revise these Terms from time to time. When we do, we will update the "Last updated" date above. Material changes may be communicated through the Site. Your continued use of the Site or Services after changes take effect constitutes acceptance of the revised Terms.
